Referral Partner Network Agreement

Purpose:

SMART-TARP® agrees to compensate the above-named Company or Contractor (“Referral Partner”) for each completed shrinkwrap roofing project they refer.

Referral Terms:

• The Referral Partner will receive $50 per square for each shrinkwrap job approved and completed through SMART-TARP®.

• Referral Partner client must be a new contact not already in the SMART-TARP® system.

• Payment will be made within 14 business days of project completion, though delays may occur due to processing or funding clearance.

• Payments can be made by direct deposit or a mailed check.

Image and Documentation Guidelines:

• Use of CompanyCam or other image documentation is encouraged to support project evaluation.

• Proper damage photos and job details must be submitted for approval.

Independent Relationship:

This agreement does not create an employee, agency, or joint venture relationship. The Referral Partner operates as an independent contractor responsible for their taxes, expenses, and business conduct.

Confidentiality:

Any non-public information shared by either party, including customer details or business strategies, must remain confidential and not be shared without written permission.

Referral Partner Non-Circumvention:

The Referral Partner agrees not to bypass SMART-TARP® by working directly with its clients or vendors on shrinkwrap services for 12 months after the last referral, unless SMART-TARP® gives prior written approval.

SMART-TARP® Non-Circumvention:

SMART-TARP® agrees not to bypass the Referral Partner by working directly with its clients or vendors on shrinkwrap services for 12 months after the last referral, unless the Agent gives prior written approval.

Termination:

Either party may terminate this agreement with 10 days’ written notice.
